GENERAL CONDITIONS OF SALE AND USE OF THE WE RISE WEBSITE
Preamble
These general terms and conditions of sale (and the documents to which they refer) govern, on the one hand, the terms and conditions for subscribing to the subscriptions offered by We Rise and, on the other hand, access to and/or use of the website http://www.werise.be (the "Site").
1 Definitions
"Subscription(s)" means either a Monthly Subscription or an Annual Subscription
"Monthly Subscription" means a subscription taken out by the Member entitling him/her to attend Events organized by We Rise during a month beginning on the day the payment is made by the Member and for a duration of thirty (30) consecutive days;
"Annual Subscription" means a subscription purchased by Member entitling him/her to attend Events organized by We Rise for one (1) year beginning on the day payment is made by Member and lasting for twelve (12) consecutive months.
"Terms and Conditions" means these Terms and Conditions, as amended from time to time by We Rise.
"Agreement" means these Terms and Conditions, the application form and any related document signed with these Terms and Conditions.
"Member" means any individual, at least 18 years of age, who has subscribed to the Monthly Subscription or Annual Subscription
"Stakeholder" means any individual and/or legal entity collaborating with We Rise in the organization of activities and events.
2. Information about We Rise and the Site
The Site was created by We Rise (hereinafter "We Rise"), established by Alba Pregja (VAT No.: BE0750.511.269), whose registered office is located at Boulevard Adolphe Max 30, 1000 Brussels

3. Subscribing to a Membership
3.1 We Rise is a network of women entrepreneurs that aims to bring together professionals from various sectors. The We Rise Membership is therefore strictly and exclusively reserved for professionals, i.e. any individual or legal entity acting in the context of their professional activity, whether public or private.
3.2. The Contract between the Member and We Rise shall be concluded upon validation by the Member of his or her order for a Subscription in accordance with the terms and conditions set out below.
3.3. When the Member visits the Site, he/she chooses the Subscription to which he/she wishes to subscribe:
- Monthly Subscription at 33.00 EUR per month (excluding VAT) or;
- Annual Subscription at 330.00 EUR (excl. VAT) or;
- Digital Subscription at 15,00 EUR per month (without VAT).
3.4. By registering on the Site and subscribing to a Subscription, the Member expressly acknowledges that he/she is registering as a professional and that the data entered (in particular his/her value added tax number) are valid and accurate. It is the Member's responsibility to keep his or her data up to date and accurate.
4. Prices and Payment
4.1 General information
The prices of the Subscriptions on the Site are indicated in euros (€), excluding taxes including the Belgian value added tax ("HVTA").
Subscription prices may be subject to discount(s) granted to a Member, via promotional codes or other coupons. Such discounts are granted by and at the sole discretion of We Rise.
The applicable prices are those in effect at the time of Member's validation of the Subscription.
We Rise reserves the right to change its prices at any time upon notice to Member.
4.2. Payment of the Subscription
Once the Member has chosen the desired Subscription package, he/she can confirm his/her order, and will then be redirected to the payment page and proceed to payment by VISA or MASTERCARD credit card.
In case of tacit renewal, the monthly or annual payments, depending on the Subscription formula chosen, for the following months or year will be automatically debited on a recurring basis from the bank account used to make the first payment. The payments debited will reflect any changes in the price of the Subscriptions as stipulated in Article 5.2.
5. Duration
5.1. This Agreement shall take effect as of the date of payment of the Subscription by the Member for a renewable term of thirty (30) consecutive days for the Monthly Subscription and twelve (12) consecutive months for the Annual Subscription (together referred to as the "Initial Term").
5.2. At the end of the Initial Period provided for in Section 5.1, the Agreement shall be tacitly renewed for a term equivalent to the Initial Period and the applicable price shall be that in effect at that time.
6. Events
6.1. Description
Membership entitles the Member to register for activities and events organized by We Rise ("Events"):
(a) breakfast: one breakfast per month;
(b) "workshop": one to two workshops for an additional fee per workshop and pre-defined in collaboration with each provider.
(c) "talk": one talk per month with seats available for non-members.
By becoming a Member of We Rise, the Member becomes part of a network of women entrepreneurs that offers the Member the opportunity to become a Speaker based on a decision that is at the sole discretion of We Rise.
Member is informed of the limit of people that can attend each Event and that the Membership does not automatically entitle Member to a seat at any of these Events. As the Events can only accommodate a limited number of Members, the first Members to register will systematically be given priority.
6.2 Registration for Events
Registration for the Events is done solely via the Site with the login and password that the Member will have chosen when ordering his or her Subscription and when registering for the first time on the Site. By clicking on the link on the Site, the Member and/or Non-Member is automatically redirected to the website http://www.werise.be via which the Member and/or Non-Member is invited to finalize his/her registration.
After registering for an Event, the Member automatically receives an email confirming his or her registration.
The Member or Non-Member registered for a workshop may unregister for an Event up to forty-eight (48) hours prior to the start of the Event. If a Member or Non-Member does not withdraw from an Event within this time period, the Member or Non-Member will not be reimbursed for their registration for the Event if the Event was at an additional cost to the Membership fee or for their workshop registration.
7. Change of Subscription
If the Member wishes to change his or her Membership from a Monthly Membership to an Annual Membership, he or she must notify We Rise no later than five (5) days prior to the end of the Initial Term by sending an email to hello@womadebrussels.com. Upon payment within forty-eight (48) hours of such request, Member's Membership will be changed to an Annual Membership.
8. Termination of the Contract
8.1. The Agreement shall be automatically renewed at the end of the Initial Term.
8.2. If the Member does not wish his or her Subscription to be automatically renewed at the end of the Initial Period as provided for in Article 5.2. of the General Terms and Conditions, the Member must notify We Rise in writing hello@womadebrussels.com no later than fifteen (15) days before the end of the Initial Period.
9. Renewal and Changes to Subscriptions
In the event of tacit renewal or renewal by Member of its Subscription, We Rise shall notify Member by e-mail of any changes in the price of Subscriptions and/or their formula. Changes shall become effective on the first (1st) day of the month following the announcement.
Prior to the tacit renewal of the Subscription, the Member has the right to terminate the Agreement within the time limits set forth in Section 8.2. of the Terms and Conditions.
We Rise reserves the right to automatically charge the new announced Subscription rate when the changes take effect.
10. Personal Data
When the Member registers on the We Rise Site and purchases a Membership, the Member is asked to provide certain personal data and We Rise may collect certain electronic data.
When We Rise processes the personal data of its Members, it does so in accordance with applicable data protection law, including in particular Regulation 2016/649 of 27 April 2016 on the protection of individuals with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC ("General Data Protection Regulation" or "GDPR") and in accordance with its Privacy Policy.
11. Content and Use of the Site
11.1. Content and presentation of the Site
The Site is an original creation of We Rise, whose content, layout and structure are protected by intellectual property rights, including but not limited to copyright, database rights and trademark rights. The texts, logos, drawings, illustrations, images, sounds, hardware, data, audio files, video files, audiovisual files and other elements appearing on the Site (the "Creations") are also protected by intellectual property rights and/or other rights and remain the full and exclusive property of We Rise.
Any use and reproduction for non-private and/or commercial purposes or for purposes other than viewing or using the Site, any communication to the public, adaptation, modification, recording on film or images, photographs or drawings, translation, making available, exploitation, storage, distribution, marketing, possession or offering for commercial purposes sale, dissemination, rental, lending, integration into another website or other medium, reverse engineering, in whole or in part, in any form, manner or medium whatsoever, are prohibited and We Rise reserves the right to take action against any violation of the above.
11.1.2. Trademarks and Names
Trademarks and names mentioned on the Site may be protected by trademark law and all rights are expressly reserved.
11.2. To third party websites
We Rise does not control the websites to which hyperlinks are made available on the Site and We Rise cannot be held responsible for the quality of these websites nor for any inappropriate, illicit or illegal content on these websites and for any hyperlinks available on these websites to other websites.
11.2.1. To the Website
The establishment or maintenance of a link from a third party website to a page of the Website is prohibited without the express prior written consent of We Rise.
It is also strictly forbidden to set up on a third party website (i) any "deep link", "robot" or any other automatic or manual devices, algorithms, codes, programs or any other methods used to copy, open, or control in any way all or part of the Site or the information contained on the Site.
12. General
12.1 Changes to the Terms and Conditions
We Rise reserves the right to modify the Terms and Conditions, from time to time, which shall automatically and immediately apply to any new registration and after informing existing Members of such modification.
12.2 Non-Waiver
We Rise's failure to enforce any provision of these Terms and Conditions and/or to assert its rights shall not be construed as a waiver by We Rise of any of its rights.
12.3 Severability
If any provision of these Terms and Conditions shall be deemed invalid, illegal or unenforceable, such provision shall be severed without affecting the validity and enforceability of the remaining provisions of the Terms and Conditions. The Parties undertake to replace the clause considered null or illegal by a similar clause.
12.4 Force Majeure
We Rise is not obliged to fulfil its obligations if an event of force majeure occurs. In this case, We Rise may either (i) suspend its contractual obligations for the duration of the force majeure event, or (ii) terminate the Agreement if the force majeure event continues.
Force Majeure is any event beyond the reasonable control of We Rise, including, but not limited to, any cause such as: acts of God, civil unrest, economic sanctions, fire, flood, severe weather conditions, explosion, epidemic or pandemic, terrorism, labor disputes, strikes, any form of industrial action or dispute, as well as any circumstance that would prevent the normal organization and conduct of the Events for Members, and other similar situations that may affect We Rise, its Stakeholders, or other contractors.
12.5 Governing Law
These Terms and Conditions and the Agreement shall be governed by and construed in accordance with Belgian law.
12.6 Disputes
In the event of a dispute relating to the interpretation or execution of these General Conditions and/or the Contract, the Parties undertake to resolve the dispute amicably and, failing agreement, to resort to mediation.
If the Parties fail to reach a negotiated solution, any remaining dispute or contention shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Brussels.
